What are the conditions for foreign investors to access the market?
According to Article 8 of the Investment Law 2025 (No. 143/2025/QH15), foreign investors have access to the market on equal terms with domestic investors, except for sectors and trades listed in the Market Access Restriction List. The restriction conditions include: capital ownership ratio, investment form, scope of activities, investor capacity, and other conditions as prescribed by law or international agreements.

Is Transfer of Shares in a Joint Stock Company Required to be Registered with the Department?
Generally not. The Law on Enterprises 2020 provides that transfer of shares is effected by contract and then recorded in the company's register of shareholders; the transferee becomes a shareholder only when their information is fully recorded in the register (Clause 6, Article 127).

According to Clause 19 and Clause 20 of Article 3 of the Investment Law 2025 (No. 143/2025/QH15), a domestic investor is an individual with Vietnamese nationality or an economic organization with no foreign investor as a member/shareholder; a foreign investor is an individual with foreign nationality or an organization established under foreign law.
